Customer represents, warrants and covenants to Applied Recognition that at all times: (i) the Content shall be in compliance with the AUP (as such AUP may be updated by Applied Recognition from time to time upon written notice to Customer); (ii) to Customer’s knowledge, the Content shall not be defamatory and shall not violate any applicable law or regulation; and (iii) Customer owns or otherwise has the right to publish the Content, and that neither the Content, nor the use thereof as contemplated under this Agreement, shall infringe any copyright or other intellectual property or proprietary right of any third party. Customer acknowledges that all Content should be encoded and formatted as specified by Applied Recognition in order to function properly with the Licensed Technology and Customer further acknowledges that if any Content is not so encoded and formatted, that such Content is more likely to malfunction with the Licensed Technology and that Customer accepts the increased malfunction risk associated with such Content. Applied Recognition represents, warrants and covenants to Customer that at all times the provisions of the AUP shall be reasonable and within industry standards. Applied Recognition acknowledges that the encoding and performance of the Content to Applied Recognition’s specifications are subject to the reasonableness of such specifications and the provision of such specifications (and any mutually agreed upon updated thereto) to Customer in a timely fashion.
